Item 2.05    Costs Associated with Exit or Disposal Activities
On May 31, 2023, Outbrain Inc. (the "Company") announced a reduction in its global workforce of approximately 10%, to adjust to the continued macroeconomic uncertainty, create additional operating efficiencies, and support the Company’s strategic growth and profitability objectives.

The Company began notifying the affected employees of their termination on May 31, 2023, and expects to realize annualized expense cost savings of approximately $12 million to $14 million, excluding the one-time charges below. The Company expects approximately half of the annualized impact to be realized in 2023, with the balance of the annualized costs savings to be realized in 2024.

The Company expects to incur pre-tax cash charges of approximately $1 million to $2 million in connection with the workforce reduction, primarily related to employee severance and related benefit costs. The majority of these charges are expected to be incurred during the second quarter of 2023.

The charges that the Company expects to incur in connection with the workforce reduction and the projected cost savings are estimates and are based on certain assumptions, including local law requirements in various jurisdictions, and actual amounts may differ materially from such estimates.

Outbrain will provide further information about these cost-savings efforts in connection with the release of Outbrain’s second quarter earnings.
